1. Agreement to Terms

By accessing and using the Frosted Star Forge website and services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms constitute a legally binding agreement between you and Frosted Star Forge ("Company," "we," "our," or "us").

2. Eligibility

You represent and warrant that you are at least 18 years of age or the applicable age of majority in your jurisdiction, and that you have the legal authority to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. We do not knowingly provide Services to individuals under 13 years of age.

3. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for lawful personal or business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works based on our Services or content
  • Rent, lease, loan, or sell access to our Services
  • Reverse engineer, decompile, or attempt to derive the source code or underlying principles of our Services
  • Use our Services for competitive analysis or building competing products
  • Remove, obscure, or alter any proprietary notices or labels

4. Intellectual Property Rights

Our Services, including all content, features, functionality, and design, are owned by Frosted Star Forge or its content providers and are protected by international copyright, trademark, and other intellectual property laws. We retain all rights not expressly granted to you.

Content provided on our Services may be protected by third-party intellectual property rights. You must respect these rights and may not use such content without proper authorization from the rights holder.

We do not claim ownership of content you provide (user-generated content), but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with our Services.

5. User Conduct

You agree that you will not use our Services in any manner that:

  • Violates any applicable law, regulation, or third-party right
  • Infringes, violates, or misappropriates any intellectual property or privacy right
  • Contains threats, harassment, intimidation, or abusive content
  • Contains false, misleading, or fraudulent information
  • Impersonates any person or entity or misrepresents your affiliation
  • Disrupts the normal flow of dialogue within our Services or circumvents access controls

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FROSTED STAR FORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

IN NO EVENT SHALL FROSTED STAR FORGE' TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO FROSTED STAR FORGE IN THE 12 MONTHS PRECEDING THE CLAIM, OR ¥1,000 IF NO PAYMENT WAS MADE.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FROSTED STAR FORGE DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free from malware or harmful components. We do not guarantee that defects will be corrected or that our Services will meet your expectations.

8. Third-Party Content and Links

Our Services may contain links to third-party websites, applications, and content ("Third-Party Services"). We do not control Third-Party Services and are not responsible for their content, accuracy, legality, or practices. Your use of Third-Party Services is governed by their terms and policies, not ours.

We do not endorse Third-Party Services and make no representations regarding their safety or reliability. Use them at your own risk. We strongly recommend reviewing their privacy policies and terms before providing personal information.

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms or engage in conduct we deem inappropriate. Termination by you can be completed by discontinuing use of our Services.

Upon termination, your right to use our Services ceases immediately. Certain provisions of these Terms survive termination, including Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Frosted Star Forge and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property or privacy right
  • Content you provide or actions you take through our Services
  • Your violation of any third-party right

11. Payment Terms

If you purchase products or services through our platform, you agree to pay the stated price using a valid payment method. Prices are in Japanese Yen (¥) unless otherwise specified. We may update prices at any time, but existing purchases will not be affected.

Payment is due immediately upon purchase unless we specifically offer alternative payment arrangements. We accept various payment methods as indicated on our website. All transactions are final except where otherwise specified. Refunds, if applicable, will be issued to your original payment method within 7-10 business days.

12. Shipping and Delivery

If physical products are shipped to you, delivery dates are estimates only. We are not liable for delays caused by carriers, customs, natural disasters, or circumstances beyond our control. Risk of loss passes to you upon delivery to the carrier. You are responsible for providing accurate shipping information.

13. Modifications to Services

We may modify, suspend, or discontinue our Services or any portion thereof at any time with or without notice. We are not liable for any modifications, suspensions, or discontinuations of our Services. We may also modify these Terms periodically. Continued use of our Services following modifications constitutes acceptance of the modified Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws principles. Any legal action or proceeding arising from or related to these Terms shall be resolved through the courts located in Tokyo, Japan, and you consent to the exclusive jurisdiction and venue of such courts.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Frosted Star Forge regarding your use of our Services and supersede all prior negotiations, representations, or agreements, whether written or oral.

18. No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Frosted Star Forge.

19. Dispute Resolution

Before pursuing legal action, we encourage parties to attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved informally, you and Frosted Star Forge agree to submit to the exclusive jurisdiction of the courts located in Tokyo, Japan as stated in Section 14.
